CBC has helped many clients acquire companies or other businesses over the years and led them through the minefield of difficulties this inevitably presents.

We help prepare the business plan, highlight target businesses or companies, advise on suitable methods of finance to acquire the target and then assist in purchase price negotiations if required. We then help implement control systems to allow the newly acquired businesses to be absorbed successfully and develop strategies to help ensure a positive pay back on this investment.

We advise clients on how to maximise relief on disposals whilst being mindful of the price achieved. We carry out a full review of the business, including aspects such as succession planning, employee shares or MBOs. Throughout transactions our team negotiates on behalf of the client and works closely with lawyers to achieve the best possible outcome.

We see the whole issue of succession planning as a major difficulty facing so many companies in the UK. People have in many cases built up very successful companies over the years but have little or no options open to them when it comes to finding a suitable exit route. In many cases a management buy out is the best option as these do not have many of the potential difficulties of a trade sale to perhaps a competitor company which means allowing that company full access to the company’s books, records and other highly confidential information without the guarantee of the deal going through. MBO’s are likely to become much more common place in the years ahead and forward planning here is absolutely essential if the transaction is to work.

We can help you to identify the individuals within your company who you feel may have the potential to participate in these, can help to develop their skills and confidence, help to set up employee share schemes which may enable them to build up shareholdings gradually, and ultimately help them to raise the funds to complete the transaction. This can be a longer term project, taking a number of years but is however an essential process which is required to ensure that you exit your business at the best price and on terms acceptable to both parties.
